Position Overview
We seek a strategic and assertive General Counsel to serve as the foundational legal expert for our firm. This is a hands-on, broad-spectrum role for a lawyer who is not only a skilled technician but a commercially-minded business partner. You will be responsible for architecting and safeguarding our legal infrastructure, enabling complex transactions, and providing decisive counsel that balances risk with opportunity. The ideal candidate possesses a blend of corporate, financial, and employment law expertise, and thrives in an environment where clear, pragmatic judgment is paramount.

Key Responsibilities

Corporate Governance & Structural Integrity

  • Serve as the program manager and legal architect for the firm's nominee director and corporate structuring initiatives.
  • Draft, negotiate, and maintain all critical agreements, including Nominee Director Agreements, Confidentiality Agreements (NDAs), Non-Competition/Non-Solicitation agreements, and Promissory Notes.
  • Implement and manage robust control systems for fiduciary arrangements, ensuring full compliance and risk mitigation.

Transaction Support & Investment Execution

  • Lead all legal aspects of the firm's investment vertical, including conducting and overseeing comprehensive legal due diligence for direct equity purchases and other private market transactions.
  • Draft, review, and negotiate term sheets, share purchase agreements, shareholder agreements, and other transaction documents.
  • Provide strategic counsel on deal structuring, regulatory considerations, and post-closing integration.
  • Maintain expertise in and ensure compliance with relevant SEC regulations and filing requirements pertinent to private fund advisers and significant investments.

Employment Law & Litigation Management

  • Act as the primary legal advisor on all human resources matters, from hiring practices to senior-level separations.
  • Develop, implement, and oversee firm-wide employment policies, handbooks, and compliance programs.
  • Proactively manage employment-related risk, including matters related to compensation, discrimination, and wrongful termination.
  • Manage the firm's litigation portfolio, including directing outside counsel, developing case strategy, and pursuing favorable settlements where appropriate.

Compliance & Strategic Advising

  • Develop a pragmatic, risk-calibrated compliance framework tailored to the firm's activities.
  • Provide clear, actionable legal advice to senior leadership on a wide range of strategic initiatives, operating as a trusted advisor who enables business objectives.
  • Navigate complex and ambiguous regulatory environments with sound judgment and confidence.

Qualifications & Experience

  • Juris Doctor (J.D.) from an accredited, top-tier law school.
  • Admission to the State Bar of Texas (or ability to obtain admission promptly).
  • 4-7 years of relevant legal experience, ideally gained at a prestigious law firm representing financial institutions or in-house at a hedge fund, private equity firm, or sophisticated financial services company.
  • Proven expertise in corporate law, transactional work (M&A/private equity), and employment law. Familiarity with investment adviser regulations is a significant advantage.
  • Demonstrated ability to draft and negotiate complex agreements with precision and efficiency.
  • Exceptional business acumen, with the ability to translate legal concepts into commercial strategy.
  • A proactive, autonomous, and resilient professional demeanor. You must be confident in making independent decisions and providing direct, unambiguous counsel.
  • Outstanding communication and project management skills, with the capacity to handle a vast and varied portfolio of responsibilities.

Compensation & Benefits

  • A competitive base salary of $130,000 per annum.
  • A discretionary annual performance bonus ranging from $15,000 to $40,000, based on individual contribution and firm performance.
